These Regulations governing services provided by electronic means by Nocodi Team.

§ 1. Subject matter.

These Regulations governing services provided by electronic means provided to Clients by Michał Kochański conducting business activity under the name FORETO Michał Kochański based in Gdańsk, Wassowskiego 12/30 St., 80-225 Gdańsk, Poland, NIP 5922261846, REGON 222049106, hereinafter referred to as “Provider” or as “Nocodi Team”.

§ 2. Definitions.

  • 1. This following definitions used in these Terms of Service have the following meanings:
    • a. Working days – every days in the week from Monday to Friday, with the exception of holidays and other statutory days off work;
    • b. Client – a natural person who have full capacity to enter into legal transactions and must be at least 18 years of age, a legal person or an organization without legal personality having legal capacity under a law, who use services available on the Website by placing an order;
    • c. Nocodi Configurator – a tool that allows to order services provided by front-end developers.
    • d. Customer – a natural person who makes a legal transaction with the entrepreneur not directly related to his/her professional or business activity;
    • e. General Data Protection Regulation (GDPR) – Regulation of the European Parliament and of the Council 2016/679 of 27 April 2016, on the protection of individuals with regard to the processing of personal data and free movement of such data and repealing Directive 95/46/WE;
    • f. Terms of Service - are this document defining terms of rendering electronic services by Provider through the Website;
    • g. Website - an organized IT and information platform connected to the Internet created by Provider, allowing its Users to take advantage of the IT system and content prepared by Provider with the purpose of provision of services; Website is available on www.nocodi.com;
    • h. Agreement - the agreement on providing services by electronic means to be concluded between the Client and Provider;
    • i. Service / services - the electronically supplied services described in Terms of Service;
    • j. Consumer Rights Directive – law of 30 may 2014 about customer rights (Journal of Laws of 2014, item 826);
    • k. Order – Customer's declaration of will that leads to signing of an agreement with Provider through the Website;
    • l. Nocodi Team – our team of developers, who is programming visual layer of a website, site, web application, portal based on provided by Client graphic design. Professionals, who for years are specializing in programming providing the highest quality of products used online.

§ 3. The provisions for implementing this Terms of Service.

  • 1. These Terms of Service define the general rules and conditions for provision of services by electronic means through the Website available on www.nocodi.com.
  • 2. These Regulations are available for free on Website www.nocodi.com. You can print, save it and digitally reproduce the content of the Terms of Service with the use of any electronic media at any time.
  • 3. Please remember that making a declaration that you accept all the provisions included in these Terms of Service and using of the services provided by Provider is legally equal to signing an agreement for the supply of digital content with Provider.
  • 4. These Terms of Service shall form an integral part of the Agreement concluded between Client and Provider.

§ 4. What kind of services we can offer you?

  • 1. Front-end / Markup:
    • a. we will implement your design with accordance to latest trends and technical standards using front-end / markup services,
    • b. we will code visual layer of your design using HTML/CSS/JS,
    • c. we will introduce your guidelines according to action and dynamism on the website.
  • 2. Website – we will implement your website comprehensively, in particular by we offer:
    • a. front-end programming,
    • b. implementing action and dynamism,
    • c. back-end implementation (development and implementation of website’s functionalities),
    • d. installation on the website’s server,
    • e. post-implementation care.
  • 3. WebApp Front-end – we will implement front-end of the web application you have designed.
  • 4. Email template – we will implement front-end of an email template prepared by you. We code following email templates:
    • a. newsletters,
    • b. informational mailings,
    • c. sales mailing,
    • d. occasional mailings and many more.
  • 5. Outsourcing – if you need to implement programming work, but don not want to hire a full-time developer, we offer a possibility to rent our expert for hours. You can purchase one-time hours or repetitive packages.

§ 5. Technical requirements.

  • 1. To use the Website it is necessary for the IT system that the Customer uses the following technical requirements to meet:
    • a. access to the Internet,
    • b. any web browser updated to the latest available version.

§ 6. How you can make an order?

  • 1. Order can be made by completing the needed data in the Nocodi Configurator available on www.nocodi.com. Registration of user's account is not necessary to make an order.
  • 2. When using Nocodi Configurator select the type of service. Then select and configure additional items of your order.
  • 3. In the next step you have to give us your contact details and if you would like to – any additional notes with your comments.
  • 4. At the very bottom of Nocodi Configurator you can also upload .sketch, .psd, .png and .ai files. These will be the files that Nocodi Team will use to implement your order. Files can be sent to us as a download link either. Remember to include graphic design together with, if needed, description of the interactions, animations and additional functionalities you would like to implement. All of this just for making sure that we will be able to provide the highest quality service, final product and as much as possible tailor-made according to your needs.
  • 5. In the next step Nocodi Configurator will show you cost of project’s implementation along with estimation of time needed for project’s implementation expressed in working days.
  • 6. If you agree to terms of placing an order showed by the Nocodi Configurator, confirm your order by clicking "order with obligation to pay" button and go to the next step – the electronic payment. Remember that completing this step will be tantamount for making order of our services (completion of your order). You will be obligated to pay for the ordered service.
  • 7. When the order is placed you will receive an email message with the confirmation. This message will contain:
    • a. Provider’s details confirmation,
    • b. order specification,
    • c. a statement that the Consumer has a right to withdraw from the agreement together with Withdrawal from Agreement Form (these documents will be valid only if you are a Customer),
    • d. payment details,
    • e. an advance invoice that is necessary for a payment to be made,
    • f. when the order will be payed we will send you an electronic invoice without a signature.
  • 8. If instead of using the Nocodi Configurator you would like to receive an individual offer and project valuation, contact with us by office@nocodi.com. Remember to describe the project and define your expectations. The more detailed information we receive from you, the biggest satisfaction with our cooperation will be. We will respond to you within one working day. We will send you back an .pdf offer with the valuation of your order based on sent specification of work. If our offer send in reply message will suit you, accept it and then you will receive a pro forma invoice from us for making a payment.
  • 9. In the case of additional questions regarding the order, you can contact Nocodi Team at any time at: office@nocodi.com.

§ 7. Payment and methods of filing payment complaints.

  • 1. Payments will be made electronically - through the quick transfer module or using a traditional bank transfer.
  • 2. The Braintree service is the electronic payment operator.
  • 3. If you choose to pay via the Braintree system, the personal data provided by you is transferred with the extent necessary for completing payment process to PayPal (Europe) S.à.r. et Cie, S.C.A. (R.C.S. Luxembourg B 118 349) and Chase Paymentech Europe Limited (EastPoint Plaza, EastPoint Business Park, Dublin 3, Ireland). The terms for the use of personal data by Braintree are indicated at www.braintreepayments.com.
  • 4. If you decide to pay by traditional bank transfer, you will receive an email from us with the invoice detailing payment details.
  • 5. For the Polish language version of Website shall be made in Polish zloty currency (PLN).
  • 6. You have two options to choose from to make a payment:
    • a. payment of the entire amount of order in advance,
    • b. payment separated in two installments. You pay only 50% of the order value when ordering, and the rest 50% when the work will be done, meaning the day you will receive the version published on our development server. When we will receive the second installment we will immediately send you the pack with product’s code.
  • 7. If you decide to pay the whole amount in advance - you will receive an extra discount on the entire order from 5% to 20%.
  • 8. When ordering a service, you accept these Terms of Service and at the same time agree to receive electronical invoice.

§ 8. When and how will you receive your order?

  • 1. We are starting processing your order when the payment is made.
  • 2. The deadline is every time estimated by Nocodi Configurator when placing the order.
  • 3. If, after receiving the order, we notice inaccuracies between the assigned task and the files sent, we will ask you for if you agree to perform additional elements for a specified surcharge and an extension of the service completion time. Lack of your response within three business days is tantamount to a refusal to expand the scope of the order against the guidelines from the Nocodi Configurator and Nocodi Team proceeds without any changes to the implementation of your order.
  • 4. If you would like to speed up the implementation of your order, it is possible to shorten the time of implementation with an additional surcharge, which will range from 5% to 20% of the order value - depending on the chosen date.
  • 5. We also offer an additional discount from 5% to 20% of the value of the order, if you decide to extend the time of implementation. The exact amount of the discount depends on the period of extension of the delivery of the order you choose.
  • 6. When the work is done, product will be tested by an programmer who did not work on this project.
  • 7. After tests made by other programmer, the Nocodi Team will publish your product on our development server so that you can go through it and add, if needed, your remarks.
  • 8. Remember that within three working days from publication of product on development server you have the opportunity to submit your remarks regarding the order to the Nocodi Team. If you do not do it within the prescribed period, it will be tantamount to acceptance of the order in the form in which it was published on our server.
  • 9. If you make the whole payment in advance, simultaneously with the publication of our work on the development server you will also receive from us a file with the source code packed.
  • 10. If you have chosen the method of payment in two installments, after publishing the order on the development server, we will send you the final invoice to pay the second installment. When you will make a payment, you will receive from us a file with the source code packed.
  • 11. Remember that after completing the project we will provide you thirty-day time of free support. During this time, we undertake to resolve the problems regarding the service we have provided and we will answer your questions. During the time of free support Nocodi Team will be happy to remove or correct any deficiencies you will find in provided product.
  • 12. There is also a possibility to extend the period of support to 90 days for an additional fee, according to the price list included in the Nocodi Configurator.

§ 9. What if you change your mind?

  • 1. If you are a Client, remember that you can withdraw from the contract within 14 days of its conclusion. You do not need to indicate the reason why you are withdrawing from.
  • 2. To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement sending it to us via email with the withdrawal form to the email address office@nocodi.com. The form of withdrawal from the contract you’ll receive from us after placing the order together with its confirmation.
  • 3. If you withdraw from this contract, we shall reimburse to you all payments received from you immediately, and in any case not later than 14 days from the date on which we were informed about your decision to exercise the right to withdraw from this contract.
  • 4. We will refund the payment using the same payment method that you used in the transaction, unless you explicitly agree to use a different one. In any case, you will not pay any fees.
  • 5. Remember that you are not entitled to withdraw from the contract if the Provider has already fully provided the service.
  • 6. The Agreement you have withdrawn from is considered to be null and void.
  • 7. Remember that by accepting these Terms of Service you accept to supply of digital content of your order being delivered to you before the deadline to withdraw from the contract. You should be aware that in this way you may lose the right to withdraw from the contract (this will be the case when the time of the service will be shorter than 14 days), as well as the fact that the lack of agreement for supply of digital content before the deadline to withdraw from the contract will extend the time of the contract by 14 days.

§ 10. Complaint.

  • 1. You can submit complaint related to the order by sending an e-mail to the following address: office@nocodi.com.
  • 2. We will try to process your complaint as fast as possible, no longer than within 14 days counted from the date of submitting the complaint and we will answer the complaint to the e-mail address provided by you.

§ 11. How your personal data will be processed?

  • 1. The Provider is the administrator of the personal data provided by you within the meaning of the Act of 29 August 1997 on the Protection of Personal Data (Journal of Laws of 2002 No. 101, item 926 as amended) and the General Regulation of the European Parliament and of the Council on data protection.
  • 2. Your personal data will be processed only for the purpose of implementing the contract for the delivery of digital content and payments.
  • 3. The Provider will be the recipient of your personal data but if you choose payment through the Braintree system, the personal data provided by you will be transferred to the extent necessary for the payment to PayPal (Europe) S.à.r. et Cie, S.C.A. (R.C.S. Luxembourg B 118 349) and Chase Paymentech Europe Limited (EastPoint Plaza, EastPoint Business Park, Dublin 3, Ireland). The rules for the use of personal data by Braintree are indicated at www.braintreepayments.com.
  • 4. Your personal data will be stored for 10 years.
  • 5. Data submission is voluntary, however, remember that your data is necessary for us to perform the contract and issue an accounting document, and without providing your personal data we are not able to provide the Service for you.
  • 6. Remember that at any time you have the right to request to access, rectify, block, erase and limit the processing of the data contained in the database. You also have the right to modify or to remove the information.
  • 7. According to art. 77 of the General Regulation of the European Parliament and of the Council on data protection, each person whose personal data refers to is entitled to lodge a complaint with a supervisory authority if thinks that processing of personal data by Provider affects the right to the protection of personal data.
  • 8. You may change or revoke your agreement to the processing of your personal data at any time.

§ 12. Out of court available means of redress.

  • 1. Client has the option of using out-of-court complaint and redress procedures. Among other things, the Client has the possibility to request a Permanent Consumer Arbitration Court with a request to settle the dispute arising from the concluded sales contract. The Client may also request the help of the Municipal County / Consumer Ombudsman or social organization, whose statutory tasks include consumer protection.
  • 2. For more detailed information on out-of-court complaint and redress procedures, the Client may search on the website http://www.uokik.gov.pl.
  • 3. The Client may also use the ODR platform, which is available at http://ec.europa.eu/consumers/odr. This platform is aimed at resolving disputes between clients and providers seeking an out of court resolution of a dispute regarding contractual obligations arising from an online sales contract or a service contract.

§ 13. Final provisions.

  • 1. This Terms of Service contain content protected by copyright, intellectual property rights and intangible assets protected by intellectual property rights, which, without the consent of the Provider, cannot be disseminated. The Client undertakes to use the content presented in the Terms of Service and on the website www.nocodi.com only for personal use.
  • 2. The designation and titles of individual editorial units are made for information purposes only.
  • 3. In case of a changes to the Terms of Service, the new one will be placed on the Website. For contracts entered into before the change of rules applied version of the regulations in force at the date of the contract by the Client.
  • 4. Matters not regulated in these Terms of Service shall be governed by the generally binding provisions of law of Republic of Poland.
